SUMMARY: The Associate General Counsel supports the General Counsel and other USL, USL Division 3 and PDL staff by providing counsel and advice in day-to-day legal matters, managing on-going legal projects, and working pro-actively with staff to help achieve goals and minimize risk.  The Associate General Counsel must be a highly organized licensed attorney who takes initiative and is capable of providing thoughtful analysis on a variety of issues and of managing complex legal and business projects in a fast-paced setting, while servicing our internal clients.  This position will advise various internal clients on matters relating to: franchising; IP licensing and distribution; corporate governance; and other transactional and day-to-day matters.


RESPONSIBILITIES: 

  • Review, negotiate, structure and draft agreements for USL, USL Division 3 and PDL (e.g., franchise agreements, licensing, work-for-hire, vendor)
  • Assist staff in issue-spotting, new business development, negotiation strategy, contractual compliance, and other legal and business affairs matters
  • Support General Counsel in corporate management, special projects, litigation, human resources and governance matters.
  • Maintain contract management system, developing and generating report packages for USL’s senior leadership.
  • Manage USL’s appeals process, including: interacting with the Appeals Committee; participating in appeals conference calls; writing appeals decisions.

REQUIRED EXPERIENCE AND KNOWLEDGE: 

  • Excellent written and oral business communication skills 
  • Strong contract drafting, negotiating and issue-spotting skills
  • Ability to make timely, nuanced recommendations for business decisions based on reasoned legal analysis and the strategic objectives of the organization
  • Ability to work on multiple projects and engage with multiple stakeholders in a challenging and fast paced environment
  • High level of commitment to quality work product and organizational ethics and integrity
  • 4-6+ years of corporate/transactional law firm or in-house experience
  • Exposure to franchise, M&A, and/or intellectual property transactions preferred, but not required

EDUCATIONAL BACKGROUND REQUIRED: 

  • Law degree and bar admission
