Summary
The Senior Counsel will handle a range of legal and corporate matters for the USOPC, with particular focus on governance matters, key agreements, and litigation.

Reporting to the General Counsel, the Senior Counsel will be responsible for assisting in carrying out the duties and functions of the Office of the General Counsel and ensuring that the USOPC is legally protected in connection fundamental organizational functions and interactions with other members of the U.S. Olympic and Paralympic community.

Duties & Responsibilities
Governance
  1. In consultation with the General Counsel, coordinate with the USOPC Board of Directors by:
    • Providing support to and serving as liaison to the committees of the USOPC Board of Directors.
    • Providing support and serving as liaison with leadership of USOPC councils (Athletes Advisory, NGB, Affiliate Organizations) as appropriate.
    • Coordinating with the General Counsel on all matters related to the corporate connections between the USOPC and the United States Olympic and Paralympic Foundation (USOPF), the primary entity responsible for generating philanthropic support for the USOPC, and the United States Olympic Endowment (USOE).
  2. Lead support for the USOPF Board of Directors by:
    • Serving as Secretary and performing all associated duties assigned by the USOPF Board (e.g., keeping minutes, providing appropriate notices, and serving as custodian of USOPF corporate records).
    • Developing strong relationships with members of the USOPF Executive Committee and Board of Directors.
    • Serving as the subject matter expert on all issues related to USOPF Board governance, providing advice and guidance based on knowledge of best practices in non-profit board governance and management as well as applicable laws.
    • Serving as staff lead for the USOPF’s nominating and governance efforts in conjunction with the USOPF’s Nominating & Governance Committee Chair.
  3. Provide governance support to the USOE as necessary and appropriate, including by ensuring proper administration of endowment funds.

Agreements and Key Stakeholders
  1. Lead USOPC legal support and guidance for contractual arrangements with National Governing Bodies (NGBs) by supporting USOPC staff in drafting, negotiating, and executing key agreements with NGBs, such as performance partnership agreements, annual statements of performance support, and special grant agreements.
  2. Coordinate with the Sport Performance, Audit, and Compliance Divisions to ensure NGB agreements meet the requirements and/or standards each set forth and advise and assist on any NGB enforcement matters.
  3. Draft, review, and negotiate operational agreements required to ensure smooth operations of the Development division, including solicitation agreements, database management agreements, letters of intent, and endowment and gift agreements.
  4. Advise the Development division on various state and federal tax laws and other legal considerations relating to charitable gifts, including unique assets such as real estate, partnership interests, tangible personal property, and closely held business interests. Ensure applicable laws and USOPC gift acceptance protocols are followed.  
  5. Assist with the preparation of USOPF tax and legal documents, including the USOPF’s annual 990 form.
  6. Ensure compliance with the USOPC’s contract policy and other policies and procedures designed to ensure appropriate legal protections for the organization.

Litigation
  1. Liaising with the AGC, Compliance & Litigation, provide legal support and guidance relating to USOPC litigation and alternative dispute resolution matters, including by:
    • Advising on litigation process and strategy.
    • Coordinating and driving results in all USOPC litigation matters.
    • Managing and coordinating outside counsel in connection with litigation matters.
    • Managing and coordinating internal discovery and recordkeeping elements of litigation matters in collaboration with USOPC Legal team.

Other Legal Services
  1. As requested by the General Counsel, provide support on complex USOPC issues.
  2. Perform other duties as assigned.

Minimum Qualifications Required

Education:
  • Bachelor’s degree
  • Juris Doctor degree

Licensure & Certification:
  • Admitted to practice law in the State of Colorado or the ability to obtain membership in a reasonable amount of time
  • Absence of negative disciplinary history concerning law license(s)

Experience:
  • 4 or more years of progressive experience in governance, contract negotiation and drafting, and/or related corporate law functions with a track record of continuing innovation, strong leadership and high achievement
  • Knowledge of non-profit governance laws and best practices
  • Substantial experience with direct handling of contract drafting and negotiation
  • Exceptional accuracy and attention to detail in drafting and executing on complex agreements or governance matters
  • Proven record of accomplishment that demonstrates initiative, creativity, managerial, and interpersonal skills, preferably in a non-profit setting
  • Proven ability to work effectively with a diverse array of internal and external stakeholders and constituents

Salary Range
$117,763 - $149,559 per year
