Legal: Clerk/Paralegal
Purpose: To provide support to the legal team with respect to business initiatives pursued by OneTeam. This position supports a broad range of general commercial matters and business operations.  A proactive, solution-oriented and collaborative approach, attention to detail and superior analytical skills are essential.  Significant experience is a must.
 
Responsibilities:
  • Assist in managing transaction flow, including with respect to inquiries on the status of agreements and negotiations, and development of internal processes and procedures 
  • Operational and administrative support of the legal team including managing the forms database, organizing contract files, sending DocuSign, and following-up with all key stakeholders regarding status of projects and agreements to ensure timely and accurate execution
  • Maintain internal systems to ensure deadlines are met, including with respect to financing-related obligations, as well as OneTeam’s organizational documents and annual reporting
  • Assist with document due diligence review for business transactions, and with discovery on litigation matters
  • Work closely with outside counsel to provide periodic updates for all contract templates and other legal forms
  • Work closely with outside counsel on trademark related matters, including with respect to deadlines and applications with the U.S. Patent and Trademark Office
  • Extensive interaction with the business units (including business development, marketing, consumer products, promotions and sponsorship, licensing, human resources and finance) to discuss and implement best practices and act as resource on various important matters
  • Draft, review, and negotiate (with attorney oversight) all standard form agreements, such as confidentiality agreements, vendor agreements, consulting agreements, routine master services agreements, statements of work, and other contract matters as appropriate.
  • Manage deliverables in connection with all executed licensing agreements, including with respect to financial and insurance-related obligations
  • Operate and maintain brand protection and enforcement program, including managing relationships for same with our unitholders
  • Other duties as assigned
 
Qualifications:
  • College degree with excellent academic credentials
  • 5+ years of contracts management, paralegal, or other comparable experience within a law firm or in-house legal department, with responsibility for reviewing, drafting, and negotiating the legal terms of a broad range of standard commercial contracts
  • Proficiency working with MS Office, including Excel, PowerPoint, SharePoint, and Asana or other project management platforms
  • Experience with scaling legal departments and driving legal process improvement and simplification, including the ability to create new procedures and legal workflows
  • Excellent communication skills, both verbal and written
  • Effective research skills
  • Knowledge and experience in licensing, media, and entertainment. 
  • Ability to work independently, but with a firmly held view in success as a team
  • Strong critical thinking and interpersonal skills
  • Prior experience supporting a heavy volume of commercial transactions in a fast-paced environment
  • Adaptability and attention to detail
